Terms of Service

These terms govern your use of Clarida. They're written to be read, not buried. If you have questions, just email us.

Acceptance of Terms

By accessing or using Clarida ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

"The Service" refers to the Clarida platform (app.clarida.bio), the Clarida website (clarida.bio), and all related tools, APIs, integrations, and email communications.

These terms apply to all users, whether using the Service anonymously, under a free or paid plan, as an individual or as part of a workspace team.

Research Use Only

Research Use Only. Not for use in diagnostic procedures.

The Service is intended solely for research and educational purposes within the life sciences field. The Service has not been approved, cleared, or licensed by the U.S. Food and Drug Administration (FDA), classified under the EU In Vitro Diagnostic Regulation (IVDR 2017/746), or authorized by any other regulatory entity for any specific intended use, including but not limited to clinical diagnostics or patient treatment decisions.

You are solely responsible for:

  • Validating any results for your specific applications
  • Ensuring compliance with applicable regulations in your jurisdiction
  • Obtaining any necessary approvals for your intended use
  • Determining whether your use constitutes research or diagnostic use under applicable law

Data & Privacy

Your research data belongs to you. Clarida does not claim ownership over any data you upload, generate, or store through the Service.

How we handle your data:

  • Data you save to a workspace is encrypted at rest and in transit, and accessible to you and any workspace members your workspace owner or admin authorizes.
  • We do not sell, license, or share your individual research data with third parties. Your experiments, samples, and results are never disclosed.
  • We may use anonymized, aggregated platform data to improve our algorithms and analysis methods, contribute to scientific research (e.g., reference gene stability rankings), and provide performance benchmarks to reagent manufacturers, instrument manufacturers, and in published market reports (e.g., kit performance characteristics such as amplification efficiency and reproducibility across thermal cycler platforms and geographies).

This data is statistical in nature, derived from collective platform usage, and cannot be traced to individual users, labs, or experiments. No unpublished experimental results, sample identities, or proprietary assay designs are ever included.

Intellectual Property & Your Data

The Service, including its design, code, algorithms, and documentation, is owned by Clarida and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without explicit permission.

Your data belongs to you. Clarida claims no ownership over data you upload, generate, or store through the Service. You retain all rights to your research data, experimental results, and analysis outputs.

You may export your data at any time in standard formats. If you delete your account, your personal information is removed and any remaining experimental data is permanently anonymized — it can no longer be attributed to you or your account. See our Privacy Policy for full details on data retention and deletion.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Clarida does not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. Clarida makes no guarantees regarding the accuracy, completeness, or reliability of any results generated by the Service.

Limitation of Liability

To the maximum extent permitted by applicable law, Clarida shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service.

In no event shall Clarida's total liability exceed the greater of fifty euros (EUR 50) or the fees you paid to Clarida in the six (6) months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under Belgian law.

Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you at least 30 days before they take effect (e.g., via email or the Service).

If you do not agree with the changes, you may close your account before they take effect. If you have a paid subscription, you may cancel and receive a pro-rata refund for the remaining period.

Continued use of the Service after the changes take effect constitutes acceptance of the modified terms.

The "last updated" date at the top of this page reflects the most recent revision.

Governing Law & Contact

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of East Flanders, Belgium.

Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be at least 16 years old to create an account.

If you are using the Service on behalf of an organization (e.g., a laboratory, university, or company), you represent that you have authority to bind that organization to these Terms.

Workspace owners and admins are responsible for managing access to their workspace, including inviting members, setting permissions, and removing members when appropriate.

Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to other users' accounts or data
  • Upload malicious code, viruses, or harmful content
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to store or process data subject to specific regulatory requirements (e.g., HIPAA, clinical trial data) without a separate written agreement

Termination

You may close your account at any time through the Service or by contacting us.

We may suspend or terminate your access if you violate these Terms, with reasonable notice where possible.

Upon termination:

  • You may export your data before your account is closed
  • Your personal information is removed and remaining experimental data is permanently anonymized
  • Access to workspace data you contributed to is governed by the workspace owner's decisions, not your individual account status

Subscription & Billing

Clarida offers free and paid plans. Paid plans are billed on a recurring basis as selected at the time of purchase.

Self-service subscriptions

  • Payments are processed securely through our payment provider (Stripe). Clarida does not store your payment card details.
  • Subscriptions renew automatically unless cancelled before the end of the current billing period.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time.

Contract billing

  • Customers may be billed via purchase order, invoice, or wire transfer under a separate agreement. Where a separate agreement exists, its billing terms take precedence over this section.

General

  • If we make material changes to these Terms that negatively affect your use of the Service, you may cancel your subscription before the changes take effect and receive a pro-rata refund for the remaining period.
  • We reserve the right to change pricing with 30 days' notice. Price changes apply at the start of your next billing period, not mid-cycle.
  • If payment fails, we will notify you and provide a reasonable grace period before suspending access. Your data is not deleted during suspension.
